Terms of Service

These Terms of Service ("Terms") govern your use of the Vex desktop application and related services ("Service") operated by Neural Core Ltd ("we", "us", "our"). By downloading, installing, or using Vex, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
Vex is a voice command and automation tool for desktop applications, primarily designed for use with video games. It provides local speech processing, AI-assisted command resolution, input automation (keyboard, mouse, virtual joystick), screen analysis features, and spoken feedback.
2. Eligibility
You must be at least 13 years old to use Vex. By using the Service, you represent that you meet this requirement.
3. Accounts
Some features require an account. You are responsible for maintaining the security of your account credentials. You may also use Vex in guest mode without an account, limited to manual actions only.
4. Subscriptions and Billing
- Vex offers Free, Pro, and Ultra tiers. Paid subscriptions are billed monthly or annually through Lemon Squeezy.
- All subscription management, upgrades, downgrades, and cancellations are handled within the Vex application.
- On cancellation, your subscription remains active until the end of the current billing period. Tier-gated features are then locked, but your data (profiles, sequences, cached commands) is preserved.
- We reserve the right to change pricing with reasonable notice. Price changes do not affect active billing periods.
5. Acceptable Use
You agree to use Vex in compliance with all applicable laws and the terms of service of any third-party software you use alongside Vex, including but not limited to video games, game platforms, and online services.
You are solely responsible for how you use Vex. Specifically:
- You are responsible for ensuring your use of Vex complies with the terms of service, end-user licence agreements, and rules of any game or platform you use it with.
- You are responsible for any consequences arising from your use of Vex, including but not limited to account suspensions, bans, or other penalties imposed by game publishers or platform operators.
- You must not use Vex to gain an unfair competitive advantage in ways that violate a game's rules or terms of service.
- You must not use Vex to harass, disrupt, or negatively impact other users in online environments.
- You must not reverse-engineer, decompile, or attempt to extract the source code of Vex.
- You must not redistribute, resell, or sublicence Vex or any part of it.
6. Game Compatibility and Anti-Cheat
Vex is designed to operate as a passive input tool. It sends standard keyboard, mouse, and virtual joystick inputs to your system. Vision Mode features observe your screen and provide information to you; they do not interact with game memory, rendering pipelines, or network traffic.
However, we make no guarantees regarding compatibility with any specific game's anti-cheat system. Different games have different rules about third-party input tools, automation, and screen reading software. It is your responsibility to understand and comply with the rules of each game you play.
We are not liable for any bans, suspensions, account penalties, or loss of in-game items or progress resulting from your use of Vex. Use of Vex with any game is entirely at your own risk.
7. AI Features and Accuracy
Vex uses artificial intelligence for command resolution, screen analysis, and conversational features. AI outputs are generated by third-party language models and are provided on an "as-is" basis.
- No guarantee of accuracy: AI-resolved commands may be incorrect. Unverified actions (AI-guessed keybinds) are flagged as such and may require confirmation before execution.
- No guarantee of availability: AI features depend on cloud services that may experience downtime or degraded performance.
- You are responsible for reviewing and confirming AI-suggested actions before they are executed, particularly for destructive or irreversible in-game actions.
- We are not liable for any consequences of AI-generated outputs, including incorrect commands, unintended actions, or inaccurate screen analysis results.
8. Vision Mode
Vision Mode allows you to select screen regions for AI analysis. You control what areas are captured and what questions are asked. We do not capture any screen content outside the regions you explicitly select.
Vision Mode watchers are passive and informational only. They are designed to tell you about what is happening on screen, not to trigger automated actions. You are responsible for how you act on information provided by Vision Mode.
9. Third-Party API Keys (BYOK)
Certain features (such as ElevenLabs cloud voices) require you to provide your own API key. When you use third-party services through your own keys:
- You are responsible for compliance with that service's terms and usage policies.
- You are responsible for any costs incurred on your third-party accounts.
- We do not store or have access to your third-party API keys.
10. Intellectual Property
Vex, including its software, design, branding, and documentation, is the intellectual property of Neural Core Ltd. Your subscription grants you a limited, non-exclusive, non-transferable licence to use the software for personal, non-commercial purposes.
User-created content (profiles, sequences, custom personalities) remains yours. By using the action correction feature, you grant us a licence to use anonymised correction data to improve the service.
11. Limitation of Liability
To the maximum extent permitted by applicable law, Neural Core Ltd and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of Vex. This includes, without limitation:
- Game account bans, suspensions, or penalties
- Loss of in-game items, currency, progress, or virtual property
- Incorrect AI command resolution or unintended in-game actions
- Inaccurate Vision Mode analysis or screen reading results
- Damage to hardware or software caused by input automation
- Loss of data, including local profiles, caches, or settings
- Service interruptions or downtime
- Actions taken by third-party services (game publishers, platform operators, payment processors)
Our total liability for any claim arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $50, whichever is greater.
12. Disclaimer of Warranties
Vex is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or compatible with any specific game or anti-cheat system.
13. Indemnification
You agree to indemnify and hold harmless Neural Core Ltd from any claims, damages, losses, or expenses (including legal fees) arising from your use of Vex, your violation of these Terms, or your violation of any third-party rights or terms of service.
14. Termination
We may suspend or terminate your access to Vex at any time for violation of these Terms. You may stop using Vex and delete your account at any time. On termination, your licence to use the software ends, but provisions regarding liability, indemnification, and intellectual property survive.
15. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated via the application or email. Continued use of Vex after changes constitutes acceptance of the updated Terms.
16. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
